Terms of reference : In these Terms and Conditions the following definitions shall apply: “Contract” shall mean the contract established between the Participant and the Organiser upon the Participant accepting the offer of the Organiser to participate, upon these Terms and conditions, in the exhibition. “Exhibition Space” shall mean any space in the Exhibition Centre licensed to the Participant by the Organiser for the purpose of the Exhibition and shall include shell (ready stand) and non-shell (raw) spaces. The word “Participant” shall mean the company &/or employees participating in the exhibition. “Participant” shall include the person described as such in the Application Form and all employees and agents ofsuch person and shall also include permitted sub-licenses of the Participant. ‘Participant’s Manual’ shall mean the manual supplied by the organizer to the participant, which contains information relating to the Exhibitor and the Exhibition Space. “Fees” shall mean the amount payable for the use of exhibition space. “Organisers” shall mean “WALKWAY INDIA”. Licensing and allocation of exhibition space: exhibition space is licensed to the participant only. The Participant is not allowed to sub-license the Exhibition space allocated to it, either wholly or in part, without prior written consent of the organizers. The Participant is not allowed to give out, even in part, or exchange their stand with third parties. The organizers reserve the right to change the venue for the Exhibition, to change the Exhibition Space allocated to the Participant, to alter the size and dimensions of the Exhibition space, to change or close entrances and exits and access to the Exhibition Space and to undertake other structural alterations as they deem fit. Such changes shall be at the discretion of the organisers and the participant shall have no claim for compensation as a result of any changes. Ready stands are all erected according to a standard pattern. No variation of the standard fascia and lettering will be permitted. Exhibits and displays should not exceed the height of the stand walls unless written permission/proposals to be submitted to the organizers for approval.
Exhibits : Movements of exhibits in and out of the Exhibition Centre must be handled by the official contractors nominated for the Exhibition. No exhibit will be allowed-into or out-of-the Exhibition Centre without an official delivery order or clearance document. The participant must make his/her own arrangements for transportation of exhibits to and from the Exhibition Centre and for storage of exhibits and packaging materials. Display of any working or moving exhibits must have the prior written approval of the Organisers. All exhibits and stand furnishing must be confined to the area of the Exhibition Space. Any advertising literature should be distributed from the Participant’s own stand(s) only. After the closeof Exhibition as the Organisers may specify, all exhibits shall be removed and cleared from the Exhibition Space and vacant possession of the Exhibition Space shall be delivered to the Organisers in as good and clean order and condition as it was when initially licensed out. Any property remaining after the last day designated by the Organisers for material to be removed may be sold or otherwise disposed of by the Organisers at the Participant’s expense. No property may be removed from the Exhibition before the Exhibition ends.
Eligible Products : The Organisers reserve the right to determine the eligibility of any product for display /sale and reject or prohibit any product in whole or part. The participant agrees that his products shall be admitted and shall remain from day to day solely on the strict compliance with the rules herein.
Terms of Payment : Payment of the Fees indicated are of the essence to participation by the Participant in the Exhibition. 50% of the total amount to be paid with the application for reservation & Balance one month before the respective show. Please attach bank draft/transfer to the original application form.
Default : If the Participant defaults in any of his obligations or violates any of his obligations or covenants under this contract, including without limitation any Exhibition Rule or Regulation promulgated pursuant to the contract, the Organisers may, without notice, terminate this agreement and retain all money received on account as liquidated damages. The Organisers may there upon direct the Participant forthwith, to remove his employees, agents or servants and contractors for and from the Exhibition Hall.
Conduct in the Exhibition Centre : During the license period the Participant shall be responsible for the good conduct of its employees, servants and agents, contractors and sub-contractors who shall be bound by and must observe these Terms and Conditions in all respects. Participants must not permit anything, which causes a nuisance or in the opinion of the Organisers does not conform with the general standards of the Exhibition or amounts or may amount to a breach of these Terms and Conditions. No Participant may alter or in any way affect the structure or fixtures of the Exhibition Centre. Participants will pay the cost of making good the damage caused to the Exhibition Centre or fixture by themselves and/or their contractors or sub-contractors. The Organisers reserve the right to refuse admittance to any visitor to the Exhibition.
Insurance : The participant should ensure that there is in existence prior to their seeking access to the Exhibition Centre, a valid insurance policy covering theft, public liability, damage to property(Exhibit, materials/machinery etc.) and effects, personal injury, consequential loss and such other risks including fire, injuries and third party claims etc. The participant is advised to see that his regular company insurance has its own theft, public and property damage insurance.
Duties and Taxes : The organizers will not be responsible in whatsoever manner for liabilities pertaining to Customs Clearance of exhibits, any government Tax, Warehousing & Transportation, etc & it will be the Participant’s sole responsibility to pay duties, & government taxes of any nature like VAT or Excide duty or any such Governmane taxes & duties etc. to the relevant authorities for goods brought into the country / state for sale.
Liability : The Participant agrees to indemnify and hold the Organisers harmless, on demand against all claims, liabilities, losses, suits, damages, judgments, expenses, costs and charges of every kind arising out of the default or negligence of, or any damage caused by the Participant or its contractors or sub-contractors. All exhibits are brought to, displayed and removed from the Exhibition Centre at the participant’s own risk and should be safeguarded by the Participant at all times. The organizer shall not be responsible in the event of any theft or fire taking place at the exhibition or any error or omission relating to the Participant, its equipment, products or services in the listings in the Exhibition’s Official Directory or in any promotional material. In the event the Exhibition is cancelled or postponed due to the occurrence of any force majeure events, the Fees may be reduced by such amount as the Organisers may, at their absolute discretion, think fit. The participant shall have no claim whatsoever for compensation for loss or damage suffered or additional expenses incurred as a result of any cancellation, postponement and alteration in character or reduction in scale of the Exhibition.
Termination : The Contract may be terminated by the Organisers by notice to the Participant upon the occurrence of any following events:
Upon termination of Contract for whatever reason, any allocation of Exhibition Space shall automatically be cancelled forthwith. All payment made in respect of the Exhibition Space shall be forfeited and the Organisers shall have the right to claim for the balance of the Fees and for any loss or damage suffered by them as a consequence thereof. If the termination of this Contract results other than from cancellation of the Exhibition, the Organisers shall be entitled forthwith to re-license the Exhibition Space. Upon termination of the Contract for whatever reason, all the Participant’s property should be removed by the Participant from the Exhibition Space immediately failing which such property shall be removed and the Exhibition Space cleared by the organizers at the Participant’s Expense. The Organisers reserve the right to exercise a general lien over any property of the Participant in the Exhibition Centre in respect of all monies, of whatsoever nature, including in respect of claims for damages, which may at any time be due or payable by the Participant to the Organisers in connection with the Exhibition.
Force Majeure: The Exhibition maybe postponed, shortened or extended due to any cause whatsoever, Organizer shall not be responsible for any loss sustained by the participant, directly or indirectly, attributed to the elements of nature, force majeure or orders and directives imposed by any governmental authority. In the event of such circumstances, the money paid by the participants, or any part thereof, is refundable at the sole discretion of the Organiser. However in all circumstances organiser reserve the right to prepone or postpone, or shortened or extend the exhibition for reason whatsoever at any point of time before the exhibition.
Agreement to Rules: Participant, for or himself and his employees and representatives, agrees to abide by the foregoing rules and by any amendments that maybe put into effect by the Organisers. Governing Law and Jurisdiction: These terms and conditions shall be governed and construed in all respects in accordance with the laws of India and the Participant submits to the non-exclusive jurisdiction to the courts in Mumbai.
PAYMENT CONDITION
CANCELLATION / REFUND POLICY In case of cancellation, one month prior to the event, the organisers reserve the right to charge 50% of the total amount as retention. Thereafter no refund on cancellation. |
